1. Acceptance of Terms

By accessing or using the Delight mobile application, web application, or website (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.

These Terms constitute a legally binding agreement between you ("Client", "you", or "your") and Delight Technologies Limited, a company registered under the laws of the Federal Republic of Nigeria, with a registered office in Lagos, Nigeria ("Delight", "we", "us", or "our").

2. Definitions

  • "Service(s)" means any event planning, baking, catering, surprise coordination, date planning, interior décor, or related concierge service offered through the Platform.
  • "Booking" means a confirmed order for any Service, initiated through the Platform.
  • "Package" means a pre-configured bundle of Services at a stated price.
  • "Vendor" means a third-party service provider, contractor, or partner engaged by Delight to deliver portions of a Service.
  • "AI Concierge" means the artificial intelligence chatbot integrated into the Platform.
  • "Deposit" means the initial payment (typically 50% of the total) required to confirm a Booking.
  • "Escrow" means the holding of Client funds by Delight or its designated payment processor until Service delivery milestones are met.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding agreements under Nigerian law to use the Platform. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete.

4. Account Registration & Security

You are required to create an account to access most features of the Platform. You agree to:

  • Provide accurate registration information, including a valid email address or Nigerian phone number.
  • Maintain the confidentiality of your login credentials.
  • Notify us immediately at security@delightapp.ng of any unauthorized access.
  • Accept full responsibility for all activities under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or exhibit suspicious activity, including multiple failed login attempts, fraudulent payment information, or abusive behaviour toward staff or Vendors.

5. Services Description

Delight provides concierge services across six verticals: event planning, baking and pastry, meal outsourcing, surprise planning, date planning, and interior décor. Services may be:

  • Directly delivered by Delight's in-house team.
  • Coordinated through Vendors selected and managed by Delight.
  • A combination of the above.

Service descriptions, photos, and pricing on the Platform are indicative. Final scope, pricing, and deliverables are confirmed in writing (via the Platform, email, or WhatsApp) before your Deposit is collected.

6. Bookings & Orders

6.1 Creating a Booking

You may create a Booking through the AI Concierge, the booking wizard, or by contacting our team directly. A Booking is not confirmed until:

  • You receive a written quote (the "Quote") detailing Services, timeline, and pricing.
  • You pay the required Deposit.
  • Delight sends a booking confirmation via the Platform or email.

6.2 Modifications

You may request modifications to a confirmed Booking at any time before the Service delivery date. Modifications may result in price adjustments. Material changes requested less than 48 hours before the event date are subject to availability and may incur additional fees of up to 25% of the modification value.

6.3 Minimum Lead Times

Certain Services require minimum lead times. While we accommodate rush orders where possible, we do not guarantee availability for requests made with less than 48 hours' notice (baking, meals) or less than 7 days' notice (events, décor).

7. Payments, Deposits & Escrow

7.1 Pricing

All prices are quoted in Nigerian Naira (₦) unless otherwise stated. Prices include applicable taxes. Delivery fees, if any, are disclosed before payment.

7.2 Deposit Structure

Bookings require a 50% Deposit to confirm. The remaining balance is due no later than 24 hours before the Service delivery date, unless otherwise agreed in writing.

7.3 Payment Methods

We accept payments via:

  • Bank transfer (Naira)
  • Debit/credit card via our payment processor
  • Cryptocurrency (Bitcoin) via BTCPay Server (where available)

7.4 Escrow Protection

Your Deposit is held in escrow and is only released to Vendors and Delight upon successful delivery of the Service, or in accordance with the cancellation policy outlined in Section 8. This protects your funds in the event of non-delivery.

7.5 Currency & Conversion

Payments in currencies other than Naira are converted at the prevailing market rate at the time of transaction. Delight is not responsible for exchange rate fluctuations between the time of Quote and the time of payment.

8. Cancellations & Refunds

8.1 Client-Initiated Cancellation

  • 7+ days before event date: Full Deposit refund minus a 10% administrative fee.
  • 3–6 days before event date: 50% Deposit refund.
  • Less than 3 days before event date: No refund, as Vendor commitments will have been made.

8.2 Delight-Initiated Cancellation

If Delight is unable to deliver a confirmed Service (due to force majeure, Vendor unavailability, or any reason within our control), you will receive a full refund of all payments made, including the Deposit, within 7 business days.

8.3 Dissatisfaction

If you are not satisfied with a delivered Service, you must report the issue within 48 hours of delivery by contacting us via the Platform, email, or WhatsApp. We will investigate and, at our discretion, offer:

  • A partial refund proportionate to the deficiency.
  • A credit toward a future Booking.
  • Re-delivery or correction of the Service (where feasible).

8.4 Refund Processing

Approved refunds are processed within 7 business days. Refunds are returned to the original payment method. Bank transfer refunds may take an additional 2–5 business days depending on your bank.

9. AI Concierge Disclaimer

The AI Concierge is powered by artificial intelligence and is designed to assist with event planning, provide recommendations, and answer questions about our Services. You acknowledge that:

  • AI-generated responses are suggestions only and do not constitute binding quotes or guarantees.
  • The AI may produce inaccurate, incomplete, or outdated information. All pricing and availability must be confirmed by our human team before payment.
  • AI-generated budget estimates are indicative ranges, not fixed quotes.
  • The AI does not store credit card information, make payments, or execute Bookings autonomously.
  • Conversations with the AI may be reviewed by our team for quality assurance, training, and to improve service delivery.

10. Vendor Relationships

Delight engages independent Vendors to deliver certain Services. While we carefully vet and manage all Vendors:

  • Vendors are independent contractors, not employees of Delight.
  • Delight is responsible for the overall coordination and quality of the Service as promised in the Quote.
  • Delight does not assume liability for the independent negligent acts of Vendors beyond our reasonable oversight.
  • Any issues with Vendor performance should be reported to Delight, not the Vendor directly.

11. Intellectual Property

All content on the Platform — including text, graphics, logos, design elements, software, and AI models — is the property of Delight Technologies Limited or its licensors and is protected under Nigerian copyright and intellectual property laws.

Photos and videos taken by Delight or its Vendors during Service delivery may be used by Delight for marketing and portfolio purposes, unless you opt out in writing at the time of Booking.

12. Limitation of Liability

To the maximum extent permitted under Nigerian law:

  • Delight's total aggregate liability for any Booking shall not exceed the total amount paid by you for that specific Booking.
  • Delight shall not be liable for indirect, consequential, incidental, or punitive damages, including loss of profits, data, or goodwill.
  • Delight shall not be liable for delays or failures caused by force majeure events, including but not limited to: natural disasters, government actions, utility failures, pandemics, civil unrest, or strikes.

13. Indemnification

You agree to indemnify and hold harmless Delight, its directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from your breach of these Terms, misuse of the Platform, or violation of any applicable law.

14. Dispute Resolution

14.1 Informal Resolution

Before pursuing formal dispute resolution, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days. Disputes should be raised by email to legal@delightapp.ng.

14.2 Mediation

If informal resolution fails, disputes shall be submitted to mediation under the Lagos Court of Arbitration (LCA) Mediation Rules, or another mutually agreed mediation service.

14.3 Arbitration

If mediation fails, disputes shall be resolved by binding arbitration under the Arbitration and Mediation Act 2023 of Nigeria, conducted by a single arbitrator appointed under the rules of the Lagos Court of Arbitration. The seat of arbitration shall be Lagos, Nigeria. The language of arbitration shall be English.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The courts of Lagos State shall have non-exclusive jurisdiction over any matters not subject to arbitration.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification at least 14 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
